Terms of Service

Learn how we protect your data, ensure compliance, and outline the responsibilities of all users across the Expedient ecosystem.

These Terms of Service (“Terms”) govern your access to and use of the Amaya™ platform, including any mobile applications and services (collectively, the “Platform”) licensed to and operated by Expedient VMS, LLC (“we,” “us,” “our”).

By accessing or using the Platform, you agree to be bound by these Terms, including our Business Associate Agreement and Privacy Policy.

1. Use of the Platform

You agree to use the Platform solely for lawful purposes related to healthcare staffing and workforce management. You are responsible for all activity that occurs under your account.

2. Eligibility

You must be at least 18 years old and authorized to represent a healthcare provider, staffing agency, or related organization to use this Platform.

3. Account Registration and Security

You must provide accurate and complete registration information and keep your credentials confidential. You are responsible for all activities conducted through your account.

4. Compliance with Laws

You agree to comply with all applicable laws, regulations, and professional licensing requirements, including but not limited to HIPAA, state healthcare staffing regulations, and labor laws.

5. Data Security and Privacy

Your use of the Platform is subject to our Privacy Policy and the Business Associate Agreement, both of which are incorporated herein by reference. We implement industry-standard security measures to protect PHI (Protected Health Information).

6. Business Associate Agreement (BAA)

6.1 Scope

As required under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), this BAA applies where we may receive, maintain, or transmit PHI in our role as a Business Associate to a Covered Entity.

6.2 Obligations of Expedient VMS, LLC

• We will not use or disclose PHI other than as permitted by the Terms or as required by law.

• We will use appropriate safeguards and comply with Subpart C of 45 CFR Part 164 to protect the confidentiality, integrity, and availability of electronic PHI.

• We will report any breach of unsecured PHI or any security incident without unreasonable delay.

• We will ensure that subcontractors that create, receive, maintain, or transmit PHI on our behalf agree to the same restrictions and conditions.

6.3 Termination and Return of PHI

Upon termination of this agreement, we will return or destroy all PHI, if feasible. If return or destruction is not feasible, we will continue to protect such PHI in accordance with HIPAA requirements.

7. Third-Party Integrations

The Platform may integrate with third-party services (e.g., background check providers, credentialing services, payroll systems). You authorize us to share relevant data, including PHI and PII, with these services as necessary to deliver functionality. We do not control and are not liable for the privacy practices or content of these third parties.

8. Intellectual Property

All content, software, and services provided on the Platform are the intellectual property of Facilitator VMS, LLC, and its licensors. You may not reverse engineer, reproduce, or distribute any part of the Platform without written permission.

9. Payment Terms (If Applicable)

Any applicable fees for the use of the Platform will be outlined in a separate service agreement or billing statement. Late payments may incur interest and lead to suspension of access.

10. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause or notice. You may also terminate your account at any time by contacting support.

11. Disclaimers

The Platform is provided “as is” without warranty of any kind. We do not guarantee specific staffing results, fill rates, or compliance outcomes.

12. Limitation of Liability

To the fullest extent permitted by law, Expedient VMS, LLC shall not be liable for indirect, incidental, special, or consequential damages, including loss of data, revenue, or business.

13. Indemnification

You agree to indemnify and hold harmless Expedient VMS, LLC from any claims, damages, or liabilities arising from your use of the Platform, including any breach of these Terms or HIPAA regulations.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Los Angeles County, City of Los Angeles, State of California.

15. Changes to Terms

We may update these Terms from time to time. Your continued use of the Platform after any changes signifies your acceptance of the new Terms.
